VibeMS Business End User Licence Agreement

This End User Licence Agreement ("EULA") forms part of the VibeMS Business Terms and applies exclusively to business Customers.

1. Proprietary software

VibeMS, including its CMS core, installer, visual editor, update system, Control Center integration, documentation, branding and proprietary components, is licensed and not sold. Robin Ringl, trading as rZWEI media under the VibeMS brand, and the respective licensors retain all intellectual property rights not expressly granted.

2. Licence grant

Subject to payment and compliance with the contract, VibeMS grants the Customer a non-exclusive, worldwide, non-transferable and non-sublicensable right to install and use VibeMS within the production and non-production limits of the purchased plan.

The right to use an installed core version is perpetual unless an individual order expressly states otherwise. Access to new versions, downloads and new activations follows the plan's active entitlement. A licence is assigned to the purchasing legal entity or sole proprietor and may not be pooled across unrelated businesses.

3. Plan rights

  • Single: one production installation, including delivery of that website to one client with a client editor, and up to the stated number of non-production activations.
  • Unlimited: unlimited production installations for projects of the licensed Customer, including repeated client handoff, while the relevant activation entitlement is active, and up to the stated number of non-production activations.
  • Lifetime: unlimited production installations and repeated client handoff, with lifetime update access described in the order, and up to the stated number of non-production activations.

The licence key remains under the control of the purchasing Customer. A client receiving a website does not acquire a standalone right to copy, redistribute or use VibeMS for other websites.

4. Customer content and website exports

The Customer retains its rights in website content, original source files, imported assets and exports created through VibeMS, subject to third-party rights and licences. A normal website export may be used independently of VibeMS. Exporting a website does not grant a right to extract, distribute or reproduce the proprietary VibeMS application itself.

5. Permitted agency use

Where the plan includes client handoff, the Customer may build, operate and deliver websites to clients and create appropriately limited editor accounts. The Customer remains responsible for sufficient licence capacity and for agreements with its clients. The Customer may charge for its website work and services but may not market or resell the VibeMS licence key as a standalone product.

6. Restrictions

Except where mandatory law expressly permits otherwise, the Customer may not:

  • distribute, sell, rent, sublicense or make the VibeMS application available as a standalone CMS;
  • publish or disclose licence keys, private signing keys, protected source code or access credentials;
  • bypass activation, signature checks, site limits or access controls;
  • remove legally required copyright or proprietary notices;
  • use one licence for unrelated legal entities outside permitted client handoff;
  • decompile, reverse engineer or create derivative products from the proprietary CMS core;
  • use VibeMS to provide unlawful services or knowingly distribute malicious code.

Rights under mandatory interoperability and reverse-engineering law remain unaffected, but the Customer must first request information reasonably available from VibeMS where the law permits that requirement.

7. Third-party software and materials

VibeMS includes open-source and third-party software governed by its respective licence notices. Imported websites, fonts, images, scripts and integrations remain subject to their own terms. The Customer is responsible for obtaining sufficient rights to all materials it imports or publishes.

8. Activation and offline certificates

Installation requires online activation for a production, staging or local environment. The activation service receives only the data necessary to bind and administer the licence, including licence identifier, installation identifier, normalized domain, environment and CMS version.

A signed certificate is stored locally so the installed CMS can verify entitlement without continuously sending website content to VibeMS. Website pages, media, form submissions, CMS users, backups, SMTP credentials and MCP tokens are not uploaded as part of ordinary licence activation.

9. Updates and compatibility

Signed updates may include security corrections, patches, compatibility changes, features and major versions. Customers must keep verified backups and test material updates. Compatibility is not guaranteed for unsupported PHP or database versions, host restrictions, modified core files or third-party code outside documented interfaces.

No software can be guaranteed to be entirely free from vulnerabilities or resistant to every attack. VibeMS does not warrant absolute security. Customers remain responsible for secure hosting, credentials, configuration, imported code, backups and timely installation of available security updates. This does not transfer responsibility for a defect in the unmodified VibeMS core or limit rights and liability that cannot lawfully be excluded.

An expired commercial update entitlement does not remove the right to use a previously installed covered core version. It may prevent access to later feature and compatibility releases and new activations. It does not curtail security updates or vulnerability handling that VibeMS must provide under mandatory law during the applicable security-support period published on the Security page.

Customer modifications, disabled security controls, unsupported environments and third-party or imported code are outside the documented VibeMS core. VibeMS is not responsible for an incident to the extent caused by those circumstances, by disclosed credentials or by failure to install an available security update after reasonable notice.

10. Termination and continuing provisions

Following a full refund, confirmed fraud, chargeback abuse, material key sharing or uncured material breach, VibeMS may restrict new activations, account access and downloads to the extent reasonably necessary. Existing local installations are not intentionally disabled merely because an update entitlement ends.

The provisions on ownership, restrictions, confidentiality, accrued claims and liability survive termination. The liability and governing-law provisions in the Business Terms apply to this EULA.
